Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Eddi Games, Inc. ("Company," "we," "us," or "our") concerning your access to and use of our gaming devices, kiosk applications, and related services (collectively, the "Services").

BY ACCESSING OR USING OUR SERVICES, YOU AGREE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE WITH THESE TERMS, YOU MUST NOT USE OUR SERVICES.

User Representations

By using our Services, you represent and warrant that:

•       You are at least 21 years of age. Our Services are intended solely for individuals who are 21 years of age or older. By using our Services, you confirm that you meet this age requirement.

•       You have the legal capacity and authority to enter into these Terms.

•       You will comply with all applicable laws and regulations in connection with your use of our Services.

•       All information you provide to us is accurate and complete.

Intellectual Property Rights

Unless otherwise indicated, the Services, including all source code, software, databases, functionality, designs, audio, video, text, photographs, graphics, and all other content (collectively, "Content"), as well as the trademarks, service marks, and logos contained therein ("Marks"), are owned or controlled by us or licensed to us and are protected by copyright, trademark, and other intellectual property laws.

The Content and Marks are provided "AS IS" for your personal, non-commercial use only. Except as expressly provided in these Terms, no part of the Services may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our express prior written permission.

You agree not to:

•       Copy, modify, or create derivative works based on the Services or Content

•       Reverse engineer, disassemble, or decompile any software or technology used in the Services

•       Remove, alter, or obscure any proprietary notices on the Services

•       Use the Content or Marks for any commercial purpose without authorization

Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make them available. The Services may not be used in connection with any commercial endeavors except those specifically endorsed or approved by us. You agree not to:

•       Systematically retrieve data or content from the Services to create a collection, compilation, database, or directory

•       Circumvent, disable, or interfere with security-related features of the Services

•       Engage in unauthorized framing or linking to the Services

•       Trick, defraud, or mislead us or other users

•       Attempt to bypass any measures designed to prevent or restrict access to the Services

•       Interfere with, disrupt, or create an undue burden on the Services or connected networks

•       Use any automated system, including robots, spiders, or scrapers, to access the Services

•       Attempt to impersonate another user or person

•       Use the Services for any illegal or unauthorized purpose

•       Tamper with, damage, or attempt to gain unauthorized access to our devices or equipment

Third-Party Services

Our Services may utilize third-party analytics and tracking services, including Google Analytics and Facebook/Meta Analytics. These third-party services operate under their own terms of service and privacy policies. We are not responsible for the practices or content of these third-party services. THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO THE SERVICES.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EDDI GAMES, INC., ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.

Indemnification

You agree to defend, indemnify, and hold harmless Eddi Games, Inc. and its subsidiaries, affiliates, officers, agents, employees, partners, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

Governing Law

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Marin County, California, and you hereby consent to the personal jurisdiction and venue of such courts.

Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Services, you agree to first attempt to resolve the dispute informally by contacting us at support@eddiwins.com. If the dispute is not resolved within thirty (30) days of your initial contact, either party may proceed with formal legal action as permitted under these Terms.

Modifications to Terms

We reserve the right to modify or replace these Terms at any time in our sole discretion. If we make material changes, we will update the "Last Updated" date at the top of these Terms. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.

Corrections

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time without prior notice.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Waiver

No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or policies published by us on the Services, constitute the entire agreement between you and Eddi Games, Inc. regarding the Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter hereof.
